Harris Announces The Purchase Of The Business Assets Of Government E-Management Solutions, Inc. (“GEMS”) From Cass Information Systems, Inc.


OTTAWA, ONTARIO, January 5, 2006 - Harris Computer Systems ("Harris"), a leading provider of financial management and customer information software solutions for local governments and utilities, today announced that it has purchased substantially all of the assets and assumed certain liabilities of Government e-Management Solutions, Inc. ("GEMS") from Cass Information Systems, Inc. ("Cass").

As a result of the sale, Harris owns the complete product suite of all of GEMS financial management, HR/Payroll, revenue management and tax related solutions. Harris will immediately be responsible for the on going support, development, service and sales for the GEMS solutions and for more than 100 GEMS customers currently using these solutions. Harris now services over 3,500 customers throughout North America, the majority of which are in the United States.

In addition, virtually all GEMS employees have become employees of Harris and will continue to serve the current and growing customer base. This group of employees adds to the depth, experience and talent at Harris, bringing the total number of employees to 290. Harris will also maintain the existing GEMS office location near St. Louis, Missouri to manage customer support, professional services, sales and marketing and ongoing development of the GEMS product suite.

With this transaction, we will also be able to expand the sales channel available for the GEMS product suite and create an opportunity to significantly increase the size of the current GEMS business unit."
